- The name of the Club shall be the Tralee Pitch and Putt and Sports Club and the objects of the Club shall be the playing of the game of pitch and putt and such other activities as the Club may decide.
- The Club shall affiliate to the governing body of Pitch and Putt in Ireland. All Ordinary and Honorary Members, unless already registered, shall be registered with the aforementioned body. Such registrations may not be made until the Annual Subscription, where necessary, has been paid.
- The business and affairs of the Club shall be managed by a Committee consisting of the following: President, Chairman, Vice-Chairman, Captain, Lady Captain, Honorary Secretary, Joint Treasurers, and a maximum of fifteen other ordinary members, all of whom shall be elected by a General Meeting and shall hold office for one year, but shall be eligible for re-election.
- The Committee shall meet at least once a month or often otherwise as the duties of the management of the Club shall dictate. At such Meetings, 6 (including at least 4 officers) shall form a quorum.
- The Committee shall have the power to fill by co-option vacancies on its body created by the death, resignation, or removal of members.
- The Committee shall have the power to make, alter, or rescind bye-laws and all local rules and shall be the sole authority for the interpretation of these rules and of any bye-laws, local rules, or regulations made thereunder.
- The Committee shall have the power to do such other acts and things as they may consider desirable for the good management of the Club, including the power to raise or borrow funds for Club purposes, but only with the prior approval of the Trustees.
- Correct accounts and books shall be kept showing the financial affairs and receipts and disbursements of the Club.
- Members, before being eligible to hold an execute position of the Committee of the Club, must be 18 years of age and in addition have had a full year’s membership.
- The Committee shall have the power to expel or suspend members for serious misconduct or breach of the rules, subject to right of appeal.
- Any member causing wilful damage to the property of the Club or the property in use or the care of the Club, shall make good such damage.
- The Club may be dissolved by a Special General Meeting called for the purpose. The Motion for dissolution must receive two-thirds majority of all of the members of the Club. Voting shall be by written ballot. Should the motion be carried, any monies or realisable assets of the Club shall be shared amongst the members of the Club at the time but not until after all liabilities have been settled and all commitments of the Trustees in respect of their Trust have been discharged.
- The Club shall consist of Ordinary Members, Honorary Members, Juvenile Members, and Green Fees, with rights and privileges hereafter defined.
- Ordinary Members shall be Members, Ladies and Gentlemen, who have been accepted by the Committee and who have paid their Subscription within the time specified by the Committee.
- An Honorary President and not more than three Patrons shall be elected and shall be deemed honorary members by motion passed by two-thirds majority at the Annual General Meeting. Persons who have given outstanding service to the Club and/or the game of Pitch and Putt may also be elected honorary members by similar motion. Honorary Members have the right to vote at General Meetings.
- All committee members are elected to a term of office of one year, unless they resign. Any committee member who has not attended 2/3 committee meetings in a year shall not be eligible for re-election, unless their absence is with good reason. Additionally, any member of the committee who, in the opinion of 2/3 of the other committee members, is not fulfilling his/her obligations shall be replaced by co-option.
- No one member of the Club shall solely serve in more than 2 roles on the Executive Committee, those being Chairman, Vice-Chairman, Secretary, Captain, Lady Captain, Juvenile Officer, Registrar, Competition Secretary, Course Manager, and Public Relations Officer.
- Juveniles are those, who being under the age of 16 years and over 10 years, are accepted for membership of the Club, with limited privileges particularly in regards to times of play. Juveniles are registered with the Pitch and Putt Union of Ireland but shall have no vote at Annual or other General Meetings.
- Every application for membership, except in the case of Honorary Members, shall be made on a form provided for that purpose
- No person shall be considered a member until his or her entrance fee, if any, and annual subscription shall have been paid. By such payment a member submits themselves to the rules and regulations of the Club and every renewal of subscription by a member shall be deemed to be a similar submission.
- After election of a candidate the Secretary shall send him or her notice of election together with a copy of the Rules and Constitution of the Club. if the entrance fee and subscription is not received within two weeks from date of notification his election becomes void.
- The Club year shall commence on the first day of January and end on the last day of December and all subscriptions and other fees or rents shall be due on the first day of January. Persons who have been members in any one year shall have up to the last day of April of the following year to pay their subscription. Thereafter the membership of such persons as have not paid their subscriptions shall be canceled.
- The Committee, in certain instances and by the vote of 3/4 of its members, may suspend or modify the application of rule 22 in any case if reasonable cause is shown.
- A member wishing to resign from the Club shall inform the Honorary Secretary accordingly in writing.
- The privileges of the Club shall comprise the privileges of the pavilion, the use of the putting green, and the use of the course.
- No person shall be admitted as an Honorary Temporary Member of the Club or be relieved of the payment of the regular entrance fee or subscription except those possessing certain qualifications defined in these rules and subject to conditions and regulations prescribed in these rules.
Annual General Meeting
- The Annual General Meeting of the Club shall be held at such time as the Committee shall decide. The Business of the Meeting shall be to receive the Committee’s annual report and financial statement, to elect officers and a maximum 15 other ordinary members of the Committee, to appoint Auditors, to revise rules, and to transact any other business relevant to the Club. Notice of Annual General Meeting will be posted in the Pavilion a minimum of 21 days in advance.
- No rules as contained in this constitution may be revised or nominations accepted save on written notice of motion duly proposed and seconded.
- Nominations in writing and notices of motion in writing must be received by the Honorary Secretary at least 10 days prior to the Meeting and shall be posted in the Pavilion for 7 clear days prior to the Meeting. Should there be no written nominations to one or other of the officer posts, nomination from the Meeting will be valid.
- Voting shall be by ballot and a majority of those present and voting shall decide.
- The Chairman, or in his absence the Vice-Chairman, shall preside at the Meeting. If both are absent, a Chairman may be appointed from the Meeting.
- Only fully paid up ordinary and honorary members can vote at the annual general Meeting.
- The Quorum shall be 10 members, including at least 6 officers.
- Two Club Persons of the Year shall be selected at the Annual General Meeting, one for sporting achievements and another for services to the Club.
Special General Meeting
- A Special General Meeting shall be called at the request of the Committee or on a requisition signed by at least 20 members stating the business to be brought forward. The Special General Meeting shall be called within 14 days from the receipt of such requisition and shall be fixed for a day within 28 days therefrom.
- At least 7 days notice of every Special General Meeting of the Club should be given to the President and all other honorary and ordinary members of the Club by a circular specifying the time and place of meeting and the business to be transacted.
- The Quorum for a Special General Meeting shall be 20% of the ordinary members and if that number be not present within one hour after the time for which it was called the meeting shall be abandoned
- No business shall be transacted at a Special General Meeting other than that for which it was called.
- Only fully paid-up members and honorary members may attend a special general meeting.
- The bye laws of the Club should be exhibited in the Pavilion over the signature of the Honorary Secretary for the time being.
- The rules of Pitch and Putt as fixed from time to time by the Pitch and Putt Union of Ireland shall, in conjunction with the local rules, be the rules of the Club.
Trustees
- Trustees of the Club
- Not exceeding 4 in number, shall be appointed and hold Office as prescribed in Rule 30.
- The Trustees shall be elected at the Annual General Meeting or Special General Meeting of the Club. Trustees must be or have been members of the Club and must have signified their willingness to act in this capacity.
- A Trustee shall hold office for a 10-year term or for as long as he or she is able and willing to do so but may resign at any time by a letter to the Honorary Secretary.
- If the number of Trustees falls below 4, the vacancy or vacancies should be filled as far as possible by nomination at the next General Meeting of the Club.
- A record of the names and addresses of the Trustees should be kept by the Honorary Secretary.
- A Trustee should not be debarred from officership or membership of the Committee.
- Trustees have a right to sit in on Committee Meetings.
- All assets of the Club shall be vested in the Trustees, collective in trust for the members. In any renewal of the letting agreement or any new lease (the terms of which shall be agreed between the Committee and the Landlord), the Trustees for the time being shall be named as the lessee and shall execute the document in that capacity.
- No legal proceedings shall be instituted by or on behalf of the Club save with the consent and in the name of the Trustees.
- The Trustees shall be indemnified by the Ordinary Members of the Club against all liability and expense incurred by any and all of them in the execution of their trust insofar as the assets of the Club shall be inadequate for that purpose, and such indemnity shall be a condition of ordinary Membership of the Club. In this connection, the Committee of the Club shall ensure that there is an adequate Public Liability Insurance coverage maintained
- In the event of the Club being dissolved under Rule 13, the Trustees may realise the assets of the Club and apply them in discharge of any outstanding liabilities. They may make whatever arrangements they see fit to under lease or tenancy agreement, or put the land to any alternative use, not prohibited by that lease or tenancy agreement for duration of the unexpired portion of the term.
- The Trustees, or any of them, shall have the right to inspect the accounts of the Club at any reasonable time, by arrangement with the Committee.
